Terms of Service

Welcome to Jou Sun, we’re so glad you’re here. By accessing or using the Jou Sun Platform, you agree to comply with and be bound by these Terms of Service (“Terms”). These Terms are a legally binding between you and Wired Matter, a limited liability company incorporated in Hong Kong (from here on referred to as the "Platform") with registered address 19/F, Remex Centre, 42 Wong Chuk Hang Road, Wong Chuk Hang, Hong Kong. Our Service Fees and Customer Refund policies are incorporated by reference into this Agreement.

Vendors alone are responsible for identifying, understanding, and complying with all laws, rules and regulations that apply to their product listings. For example, Hong Kong law requires parties to obtain corresponding permits before selling restricted foods online. Vendors are alone responsible for identifying and obtaining any required licenses, permits, or registrations.

  1. Scope of Service

    1. Jou Sun Platform is an online marketplace that enables registered users (“Members”) and parties who sell products (parties who offer items for sales are “Vendors”) to publish their product listings on the Jou Sun Platform (“Listings”) and to communicate and transact directly with Members that are seeking to purchase such products (Members purchasing products are “Customers”). Listings may include groceries and a variety of other food and non-food related products.

    2. Jou Sun is not a retailer of food products, and Vendors alone are responsible for their Listings. When Members sell or purchase an item, they are entering into a contract directly with each other.

    3. Jou Sun may provide some ancillary services such as marketing and customer service assistance to Members. However, Jou Sun is not acting as an agent in any capacity for any Member, except as specified in the Payment Processing and Jou Sun Delivery Terms.

    4. While we may help facilitate the resolution of disputes, Jou Sun has no control over and does not guarantee (i) the existence, quality, safety, suitability, or legality of any Listings, (ii) the truth or accuracy of any Listing descriptions, Ratings, Reviews, or other Member Content, or (iii) the performance or conduct of any Member. Jou Sun does not endorse any Member or Listing. Any references to a Member being "verified" (or similar language) only indicate that the Member has completed a relevant verification or identification process and nothing else. Any such description is not an endorsement, certification or guarantee by Jou Sun about any Member or their product Listings. Verified Images (as defined below) are intended only to indicate a photographic representation of a Listing at the time the photograph was taken, and are therefore not an endorsement by Jou Sun of any Vendor or Listing.

    5. To promote the Jou Sun Platform and to increase the exposure of Listings to potential Customer, Listings and other Member Content may be displayed on other websites, in applications, within emails, and in online and offline advertisements. To assist Members who speak different languages, Listings and other Member Content may be translated, in whole or in part, into other languages. Jou Sun cannot guarantee the accuracy or quality of such translations and Members are responsible for reviewing and verifying the accuracy of such translations. The Jou Sun Platform may contain translations powered by Google. Google disclaims all warranties related to the translations, express or implied, including any warranties of accuracy, reliability, and any implied warranties for merchantability, fitness for a particular purpose and non-infringement.

  2. Eligibility, Using the Jou Sun Platform, Member Verification

    1. You must be at least 18 years old and able to enter into legally binding contracts to access and use the Jou Sun Platform or register a Jou Sun Account. By accessing or using the Jou Sun Platform you represent and warrant that you are 18 or older and have the legal capacity and authority to enter into a contract.

    2. Jou Sun may make access to and use of the Jou Sun Platform, or certain areas or features of the Jou Sun Platform, subject to certain conditions or requirements, such as completing a verification process, meeting specific quality or eligibility criteria, meeting Ratings or Reviews thresholds, or a Member’s purchase and cancellation history. We reserve the right to require pre-registration, and in our absolute discretion, to determine your eligibility such verification.

    3. We may require Members to provide us with a unique valid mobile phone number to verify your account. By providing this number you consent to us sending you a one-time verification code which you will be asked to provide back to us as part of the registration process and in order to pass the verification process. If you do not have a valid mobile phone number, you may not be able to open an account. Please note that while we do not charge you for the SMS, your mobile standard messaging rates may apply. We may use your mobile phone number for other marketing purposes and in accordance with our privacy policy. If you have any questions regarding privacy, please read our privacy policy.

    4. User verification on the Internet is difficult and we do not assume any responsibility for the confirmation of any Member’s identity. Notwithstanding the above, for transparency and fraud prevention purposes, we may (i) ask Members to provide a form of government identification or other information or undertake additional checks designed to help verify the identities or backgrounds of Members, (ii) screen Members against third party databases or other sources and request reports from service providers, and (iii) where we have sufficient information to identify a Member, obtain reports from public records of criminal convictions (if available).

    5. The access to or use of certain areas and features of the Jou Sun Platform may be subject to separate policies, standards or guidelines, or may require that you accept additional terms and conditions. If there is a conflict between these Terms and terms and conditions applicable to a specific area or feature of the Jou Sun Platform, the latter terms and conditions will take precedence with respect to your access to or use of that area or feature, unless specified otherwise.

    6. Some areas of the Jou Sun Platform implement Google Maps/Earth mapping services, including Google Maps API(s). Your use of Google Maps/Earth is subject to the Google Maps/Google Earth Additional Terms of Service.

  3. Modification of these Terms

    1. Jou Sun reserves the right to modify these Terms at any time in accordance with this provision. If we make changes to these Terms, we will post the revised Terms on the Jou Sun Platform and update the “Last Updated” date at the top of these Terms. We will also provide you with notice of the modifications by email or on our website before the date they become effective. If you disagree with the revised Terms, you may terminate this Agreement with immediate effect. We will inform you about your right to terminate the Agreement in the notification email. If you do not terminate your Agreement before the date the revised Terms become effective, your continued access to or use of the Jou Sun Platform will constitute acceptance of the revised Terms.

  4. Account Registration

    1. You must register an account ("Jou Sun Account") to access and use certain features of the Jou Sun Platform, such as submitting or purchasing a product Listing. If you are registering a Jou Sun Account for a company or other legal entity, you represent and warrant that you have the authority to legally bind that entity and grant us all permissions and licenses provided in these Terms.

    2. You can register an Jou Sun Account using an email address and creating a password.  You must provide accurate, current and complete information during the registration process and keep your Jou Sun Account and public Jou Sun Account profile page information up-to-date at all times.

    3. You will keep your password a secret. You are responsible for anything under your password.

    4. You may not register more than one (1) Jou Sun Account unless Jou Sun authorizes you to do so. You may not assign or otherwise transfer your Jou Sun Account to another party.

    5. You are responsible for maintaining the confidentiality and security of your Jou Sun Account credentials and may not disclose your credentials to any third party. You must immediately notify Jou Sun if you know or have any reason to suspect that your credentials have been lost, stolen, misappropriated, or otherwise compromised or in case of any actual or suspected unauthorized use of your Jou Sun Account. You are liable for any and all activities conducted through your Jou Sun Account, unless such activities are not authorized by you and you are not otherwise negligent (such as failing to report the unauthorized use or loss of your credentials).

  5. Content

    1. Jou Sun may, at its sole discretion, enable Members to (i) create, upload, post, send, receive and store content, such as text, photos, audio, video, or other materials and information on or through the Jou Sun Platform or our Social Media Accounts ("Member Content"); and (ii) access and view Member Content and any content that Jou Sun itself makes available on or through the Jou Sun Platform, including proprietary Jou Sun content and any content licensed or authorized for use by or through Jou Sun from a third party ("Jou Sun Content" and together with Member Content, "Collective Content").

    2. The Jou Sun Platform, Jou Sun Content, and Member Content may in its entirety or in part be protected by copyright, trademark, and/or other laws of Hong Kong. You acknowledge and agree that the Jou Sun Platform and Jou Sun Content, including all associated intellectual property rights, are the exclusive property of Jou Sun and/or its licensors or authorizing third-parties. You will not remove, alter or obscure any copyright, trademark, service mark or other proprietary rights notices incorporated in or accompanying the Jou Sun Platform, Jou Sun Content or Member Content. Trademarks, service marks, logos, trade names and any other proprietary designations of third parties used on or in connection with the Jou Sun Platform, Jou Sun Content, and/or Collective Content are used for identification purposes only and may be the property of their respective owners.

    3. Subject to your compliance with these Terms, Jou Sun grants you a limited, non-exclusive, non-sublicensable, revocable, non-transferable license to access and view any Collective Content made available on or through the Jou Sun Platform and accessible to you, solely for your personal and non-commercial use.

    4. By creating, uploading, posting, sending, receiving, storing, or otherwise making available any Member Content on or through the Jou Sun Platform, you grant to Jou Sun a non-exclusive, worldwide, royalty-free, irrevocable, perpetual (or for the term of the protection), sub-licensable and transferable license to such Member Content to access, use, store, copy, modify, prepare derivative works of, distribute, publish, transmit, stream, broadcast, and otherwise exploit in any manner such Member Content to provide and/or promote the Jou Sun Platform, in any media or platform. Unless you provide specific consent, Jou Sun does not claim any ownership rights in any Member Content and nothing in these Terms will be deemed to restrict any rights that you may have to use or exploit your Member Content.

    5. Jou Sun may offer Vendors the option of having photographers take photographs of their product Listings, which are made available to Vendors to include in their Listings with or without a watermark or tag bearing the words "Jou Sun.com Verified Photo" or similar wording ("Verified Images"). You are responsible for ensuring that your Vendor Products are accurately represented in the Verified Images and you will stop using the Verified Images on or through the Jou Sun Platform if they no longer accurately represent your Listing, if you stop vendoring the Listing featured, or if your Jou Sun Account is terminated or suspended for any reason. You acknowledge and agree that Jou Sun shall have the right to use any Verified Images for advertising, marketing and/or any other business purposes in any media or platform, whether in relation to your Listing or otherwise, without further notice or compensation to you. Where Jou Sun is not the exclusive owner of Verified Images, by using such Verified Images on or through the Jou Sun Platform, you grant to Jou Sun an exclusive, worldwide, royalty-free, irrevocable, perpetual (or for the term of the protection), sub-licensable and transferable license to use such Verified Images for advertising, marketing and/or any other business purposes in any media or platform, whether in relation to your Listing or otherwise, without further notice or compensation to you. Jou Sun in turn grants you a limited, non-exclusive, non-sublicensable, revocable, non-transferable license to use Verified Images outside of the Jou Sun Platform solely for your personal and non-commercial use.

    6. You are solely responsible for all Member Content that you make available on or through the Jou Sun Platform. Accordingly, you represent and warrant that: (i) you either are the sole and exclusive owner of all Member Content that you make available on or through the Jou Sun Platform or you have all rights, licenses, consents and releases that are necessary to grant to Jou Sun the rights in and to such Member Content, as contemplated under these Terms; and (ii) neither the Member Content nor your posting, uploading, publication, submission or transmittal of the Member Content or Jou Sun's use of the Member Content (or any portion thereof) will infringe, misappropriate or violate a third party's patent, copyright, trademark, trade secret, moral rights or other proprietary or intellectual property rights, or rights of publicity or privacy, or result in the violation of any applicable law or regulation.

    7. You will not post, upload, publish, submit or transmit any Member Content that: (i) is fraudulent, false, misleading (directly or by omission or failure to update information) or deceptive; (ii) is defamatory, libelous, obscene, pornographic, vulgar or offensive; (iii) promotes discrimination, bigotry, racism, hatred, harassment or harm against any individual or group; (iv) is violent or threatening or promotes violence or actions that are threatening to any other person or animal; (v) promotes illegal or harmful activities or substances; or (vi) violates Jou Sun’s Content or any other Jou Sun policy. Jou Sun may, without prior notice, remove or disable access to any Member Content that Jou Sun finds to be in violation of these Terms, or otherwise may be harmful or objectionable to Jou Sun, its Members or third parties.

    8. Jou Sun respects copyright law and expects its Members to do the same. If you believe that any content on the Jou Sun Platform infringes copyrights you own, please notify us.

  6. Service Fees

    1. Jou Sun may charge fees to Vendors ("Vendor Fees") and/or Customers ("Customer Fees") (collectively, "Service Fees") in consideration for the use of the Jou Sun Platform. More information about when Service Fees apply and how they are calculated can be found on our Services Fees Section.

    2. Jou Sun reserves the right to change the Service Fees at any time, and will provide Members adequate notice of any fee changes before they become effective.

    3. You are responsible for paying any Service Fees that you owe to Jou Sun. Jou Sun will deduct any Vendor Fees from the Listing Price before remitting the payout to the Vendor.

    4. The vendor fee is generally 30% of product listing prices, but may be higher for Vendors who have special delivery requests. This fee is calculated from the subtotal of product prices. To review the past service fees charged by us, please contact us.

    5. The Jou Sun fee includes our service and delivery fees. The delivery logistics service is being provided by us to Members and as such you are entering into a contract for delivery services provided by us. We may make a charge for these services to Customers, which will be shown at checkout and prior to payment. A Member’s contract with us is concluded once the products have been delivered by the courier or have been collected by the Member from a Vendor.

  7. Listing Terms specific for Vendors

    1. When creating a Listing through the Jou Sun Platform you must (i) provide complete and accurate information about your Vendor Products (such as listing description and calendar availability), (ii) disclose any deficiencies and (iii) provide any other pertinent information requested by Jou Sun. You are responsible for keeping your Listing information (including inventory level and availability) up-to-date at all times.

    2. You are solely responsible for setting a price for your Listing (“Listing Price”). Once a Customer places an order for your Listing, you may not request that the Customer pays a higher price.

    3. Pictures, animations or videos (collectively, "Images") used in your Listings must accurately reflect the quality and condition of your products. Jou Sun reserves the right to require that Listings have a minimum number of Images of a certain format, size and resolution.

    4. The placement and ranking of Listings in search results on the Jou Sun Platform may vary and depend on a variety of factors, such as Customer search parameters and preferences, Vendor requirements, price and availability, number and quality of Images, customer service and sales history, Reviews and Ratings.

    5. When a Customer makes a purchase from your Listing, you are entering into a legally binding agreement with the Customer and are required to provide your Vendor Products to the Customer as described in your Listing when the purchase is made. You also agree to pay the applicable Vendor Fee to Jou Sun.

    6. Jou Sun recommends that Vendors obtain appropriate insurance for their Vendor Services.

  8. Fulfilment and Delivery Terms Overview

    1. The platform supply delivery services to Customers on the Vendors’ behalf. Our delivery service initiates after products have been accepted by our delivery agent at designated drop-off points, and ends when it is dropped of at the Customer’s designated delivery address. Customers are responsible for making suitable arrangements to receive their delivery and giving us appropriate delivery instructions.

    2. Jou Sun’s delivery service is executed by a third-party delivery company, which we vet for quality. Chilled and/or frozen items will be transported in temperature regulated boxes, vehicles or rooms.

    3. Fulfilment is executed by Vendors, which includes picking and packing the merchandise, updating their fulfilment progress on Jou Sun’s Operations Management (OM) system, and delivering the items for pickup in a timely manner for onward delivery to the Customer.

    4. At checkout, the Customer can choose from two types of delivery options, these include "Attended" and "Doorstep":

    5. When Customers elect the Attended option, they are instructing Jou Sun to package chilled and/or frozen items in non-temperature-controlled packaging. These items need to be stored in a refrigerated environment immediately upon delivery.

    6. When Customers elect the Doorstep option, they are instruction Vendors to package their chilled and/or frozen items in temperature-controlled packaging.

  9. Fulfilment Terms for Vendors

    1. Vendors should do all that they can to ensure that all orders are fulfilled. Products are, however, subject to availability, market and weather conditions and seasonal changes so there may be occasions that a Product is not available for delivery. If Vendors are unable to fulfil an item that Customers have ordered on a timely manner, Customers will not be charged for the item. On top, the Vendor will have to pay Jou Sun a penalty fee equivalent to the Vendor Fee on the products to cover our delivery and administrative costs. Jou Sun will, however, bear no liability for unavailability of Products.

    2. Vendors may select fulfilment lead time of their products to suit the needs of their operations. Vendors are solely responsible for preparing and fulfilling the order prior to delivery. Vendors should ensure that the product is complete and not damaged. It is the Vendor’s responsibility to ensure that the products are properly packaged to withstand delivery, including placing the correct delivery number and delivery-temperature zone indicator sticker provided by the Platform.

    3. It is the Vendor’s responsibility to update their fulfilment progress on Jou Sun’s Operations Management (OM) system. This system gives Vendors the ability to indicate if an ordered item has been fulfilled, or out-of-stock and cannot be fulfilled. It is the Vendor’s responsibility to correctly update their fulfilment status on OM before their scheduled drop-off time.

    4. Vendors have the ability to pick a drop-off point that best suits their needs, among a list of drop-off points that are provided by the Platform. These drop-off points will be updated from time to time, and the Platform will inform Vendors prior to any changes.

    5. Each drop-off point has a corresponding drop-off time, and it is vital that Vendors arrive at their respective drop-off points on time. If a Vendor is late to its drop-off point, Jou Sun and our delivery partner will attempt to contact the Vendor. If we are unable to reach the Vendor, and the drop-off time has past, Jou Sun will treat this as a late drop-off. In this case, Jou Sun or our delivery partner may depart from the drop-off point, treat all orders from the Vendor as “out of stock”, and the Vendor will be charged Jou Sun’s Service Fees.

  10. Jou Sun Delivery Terms

    1. Jou Sun delivery services are only available in a limited area. Customers can identify delivery information on Jou Sun platform, on the “How we work” page. If delivery is available to the area selected by the customer, the Platform will provide the Delivery Services you engage us to perform for the ordered product(s), directly or through a third-party service provider. If a Customer’s delivery is subject to a delivery charge, it will be shown as a separate charge on the delivery confirmation page before Customers confirm their orders. Any delivery charge added to a Customer’s order will be dependent upon, amongst other things, the value of the order, the date and time of the delivery and the delivery address and charges may vary from week to week.

    2. Customers can provide Jou Sun with delivery instructions when adding their delivery address during the checkout process, under delivery instructions. It is the Customer’s responsibility to ensure that the delivery and contact information provided during the checkout process is up to date and accurate. Jou Sun and our delivery partner may charge additional fees to arrange for redelivery due to incomplete or inaccurate delivery information.

    3. The delivery date and time slot of your order will be stated in your order confirmation email. Jou Sun and our delivery partner will try to ensure that your order is delivered by the delivery time. The delivery time slot is our best estimated time;  however, there may be circumstances where delivery is delayed because of events beyond our reasonable control. If this happens, we will try and arrange for your products to be delivered as soon as possible, but we will not be liable to you for any losses caused as a result of such delay. Delivery times may vary depending on the availability of the products and your delivery address. Delivery times are estimates only and cannot be guaranteed.

    4. We aim to deliver your goods within the delivery window, but we cannot accept liability if we deliver the goods outside of this window or don't deliver all or any of the goods in your order.

    5. You will still be charged for orders in the event of a failed delivery if you have caused such failure for any reason. Reasons you might cause a delivery to fail include (but are not limited to): You did not come to the door, did not pick up the phone when the driver contacted you using the contact information you have provided us and/or you picked up the phone but then failed to provide access within a reasonable amount of time, and the driver is unable to find a safe location to leave the food.

    6. In either case of “Attended” and “Doorstep” delivery options, our deliverypartner may leave your order with a doorman or security guard if necessary, for example if we cannot reach you at the time of your delivery. We recommend that customers alert your doorman to expect a delivery from Jou Sun, so they can take appropriate steps to protect the order after delivery. In the event that your delivery is stolen from your doorstep or damaged while there, we do not accept liability, and may offer compensation at our discretion.

    7. If we are unable to deliver to you, or have to deliver late, for reasons beyond our control, for example refusal by building management, adverse weather conditions, strike actions, vehicle breakdown, traffic congestion or supplier failure, we cannot accept liability for any inconvenience or loss that this causes. We reserve the right to refuse to accept orders from any Customer; considerations of delivery problems may give rise to such a refusal.

  11. Customer Refund

    1. Customers should inspect the Products you receive as soon as possible after delivery and notify the Platform promptly, and within 1 day of your delivery, if you find any defects at [email protected]. Whenever possible, provide photographic evidence to aid Jou Sun in working with our Vendors and delivery partner to arrange for refunds for any defective or missing products.

    2. The images you share with us may be shared with the vendors and delivery partner for investigative purposes and to improve our service standards.

    3. Customers should be aware that our Vendors often harvest or butcher fresh farm produce on order, and thus, the availability of these products may be limited, weather dependent or seasonal in nature. In the event that the Products you ordered is unavailable on the day of delivery and cannot be fulfilled by the Vendor, the Vendor will be required to offer the Customer full refund.

    4. Jou Sun refund comes in two options, cash refund or credit refund. Customers will be presented with both options when they are available. If Customers do not respond with their preference, Jou Sun will automatically refund in cash.

  12. Payment Processing

    1. The Platform provides payments services to Members, including payment collection services, payments and payouts, in connection with and through the Jou Sun Platform. The Platform uses Checkout.com, Limited to process all payments. If you make a payment on Jou Sun, you agree to accept the payment terms of Checkout.com, which can be accessed here.

    2. Members who use our payment processing authorize Checkout.com to store your Payment Method information and charge your Payment Method as outlined in Checkout.com’s payment terms.

    3. Generally speaking, the Platform will collect the total cost from a Customer at the time of their checkout.

  13. Vendor Payout

    1. The Vendor is able to access the sales transactions that Customers have purchased from their store on Jou Sun’s platform on “OM”. If the Vendor notices any discrepancies or omissions, they should send Jou Sun a notice indicating the discrepancies as soon as possible. Every month, and within 14 calendar days of month-end, the Platform shall settle the total sales amount recorded in OM, net of Vendor Fees (including commission, delivery fees, payment processing fees, penalties) owed to the Vendor.

    2. Whilst we try and ensure that all details, descriptions and prices that appear on the Website are accurate, as this information is provided to us by the Vendor, there may be cases where errors occur. If we discover an error in the price of any products that you have ordered, we will inform you of this as soon as possible and, acting on behalf of the Vendor, give you the option of confirming your order at the correct price or cancelling it. If we are unable to contact you, your order will be treated as cancelled. If you cancel and you have already paid for the products, you will receive a full refund as soon as possible.

  14. Content Policy

    1. By posting content in public areas on Jou Sun, you agree to abide by these guidelines and all other Jou Sun policies. We reserve the right to remove any content, in whole or part, that violates these guidelines or our Terms of Service, or for any other reason at our sole discretion.

    2. In the event of repeated or severe violations, we may suspend or permanently deactivate the account(s) in question.

    3. You can report the content directly or contact Jou Sun to report content that appears to violate these guidelines.

    4. The following content is never allowed on Jou Sun:

      1. Content created solely for the purpose of advertising or other commercial content, including company logos, links, or company names

      2. Spam, unwanted contact, or content that is shared repeatedly in a disruptive manner

      3. Content that endorses or promotes illegal or harmful activity, or that is profane, vulgar, obscene, threatening, or harassing

      4. Content that is discriminatory

      5. Attempts to impersonate another person, account, or entity, including a representative of Jou Sun

      6. Content that is illegal or that violates another person’s or entity’s rights, including intellectual property rights and privacy rights

    5. The following are violations specific to the type of the content on  Jou Sun:

      1. Listing or Profile Pages

        1. Listing titles that do not serve the purpose of providing information relevant to the listing type, style, or experience

        2. Listings and profiles that provide fraudulent, false, misleading, or deceptive details

      2. Reviews

        1. Reviews that do not represent the author’s personal experience

        2. Reviews incentivized by a promise for payment, additional services, or a discounted rate

        3. Reviews motivated by a threat of extortion

        4. Content that is off-topic, doesn’t ask a question, or doesn’t offer knowledge in response to a question as part of a larger discussion

        5. Trolling or repeatedly targeting community members

  15. Voucher Terms & Conditions

    1. All discounts, vouchers or codes only apply to first orders for new customers of Jou Sun unless otherwise stated.

    2. A new Customer is defined as someone who has never previously placed an order on Jou Sun, and registers, places an order and enters the discount or voucher code specified on the Platform, advertisement, coupon or leaflet, at checkout during their order procedure.

    3. A minimum spend is applicable in order to validate and use any discount, voucher or code.

    4. Unless otherwise stated, all discounts, vouchers or codes must be redeemed within one calendar month.

  16. Jou Sun Referral Program rules

    Thank you for helping to grow the Jou Sun community. From time to time, Jou Sun may invite you to participate in one of its referral programs to encourage people to use our platform. Participating in a referral program (either by referring your friends or family or signing up with a referral code) can be a great way for members to receive Jou Sun vouchers ("Referral Reward").

    Jou Sun Referral Program rules (the "Rules") apply to referral programs that are administered solely by Jou Sun. By accepting and sharing your referral code or by signing up with a referral code, you are agreeing to be bound by these Rules. Any violation of these Rules will not only prevent you from participating in any Jou Sun referral program (now or in the future), but could also result in the forfeiture or retraction of Jou Sun vouchers, money, or other rewards earned through the program and even the deactivation of your account.

    Referral credits are Vouchers and are therefore subject to the above Voucher Terms and Conditions.

    1. Anyone may be a referrer/inviter who (a) is a legal resident of Hong Kong, (b) is of legal age (18), and (c) has a Jou Sun account in good standing. Referrers/inviters cannot have more than one Jou Sun account.

    2. Your friends, family, and other people you know (but not yourself) may be eligible to be referees/invitees. To determine eligibility, keep in mind the following stipulations:

      1. To receive a Referral Reward for referring someone who becomes a Jou Sun Customer, your referee/invitee must (a) be a new Jou Sun member, (b) complete the actions required by the specifics for the particular Referral Reward.

      2. If you are providing Jou Sun with the contact information for your referees/invitees, you represent that you have the right to provide that information.

    3. Jou Sun wants you to share your referral code and earn Referral Rewards, but your referral code and link may only be used for personal and non-commercial purposes. This means that you can share your them with your personal connections via your own social media accounts (eg your personal Facebook, Twitter or Instagram account) but not on sites where you are a contributor but not the account owner (eg Facebook business accounts or groups, Wikipedia, Google Reviews, coupon websites). Promoting your referral code via Search Engine Marketing (eg AdWords / Yahoo / Bing) is also not allowed. If we become aware that you have made your referral code or unique link available in any of these ways, we may deactivate it without telling you. We will not be responsible for any losses you suffer if we deactivate your account for this reason.

    4. As long as you and your referee/invitee follow these Rules and the Terms of Use governing your use of Jou Sun, you should receive your Referral Reward after your referee/invitee uses your code or link to complete the requirements for the particular Referral Reward. Cancelled orders do not count toward these requirements.

    5. For new Jou Sun members, referees/invitees may get a Referral Reward on completing requirements when they use a referrer/inviter’s referral code.. The amount and form of the discount will be based on the conditions of the particular Referral Reward. . The terms of those offers will be shown in their invitation.

    6. Jou Sun reserves the right to change, end, or pause, in whole or in part, any referral program, as well as any referrer/inviter's or referee/invitee's ability to participate in any referral program or receive Referral Rewards at any time for any reason, including suspected fraud (including by either the referrer and/or referee/invitee), abuse, or any violation of these Rules. If Jou Sun ends any referral program, any unused or unredeemed Referral Rewards may be forfeited at that time.

    7. Jou Sun may update these Rules at any time. If Jou Sun makes an update, Jou Sun will post the update on the JouSun.com website and provide notice of the update via email, social media or website announcement. Continued participation in any referral program after any update will mean that you have agreed to the update.

  17. Jou Sun Plus Terms of Service

    1. All Jou Sun Plus members enjoy Free Delivery when you spend above $250, subject to the delivery availability for the delivery address.

    2. After the 30 Days Free Trial Period ends, a Jou Sun Plus subscription fee will be charged automatically. Your subscription will automatically renew each calendar month until your Jou Sun Plus membership is cancelled (by you) or terminated (by us).

    3. Each Eligible User will only be entitled to one Free Trial Period.

    4. You agree to limit your Jou Sun account to only one user and not share your Jou Sun account details with any third party at any time during your Jou Sun Plus subscription.

    5. Member offers are subject to availability. Occasionally we make changes to member offers. We will communicate any material changes to you prior to being implemented via email or by displaying a prominent notice. We will take your continued use of Jou Sun Plus following receipt of our change notice as acceptance of the relevant change.

    6. Members on Trial only receive discounted free delivery threshold, and are not entitled to the $78 coupon and 5% off coupon as described on the Jou Sun Plus webpage.

    7. All questions or disputes regarding eligibility for Jou Sun Plus membership, delivery fee reduction or redemption of offers will be determined by Jou Sun at its sole discretion.
